What a company secretary does
While small private companies don’t have to formally appoint a Company Secretary unless it is required in their articles of association, these functions still need to be carried out.
We can provide support to make sure all the administrative and legal obligations of running your business under the Companies Act are met.

filing your confirmation statement and accounts at Companies House, which can normally be done online
setting up and maintaining company registers of Directors, members, persons with significant control (PSC) and charges
dealing with the resignation or appointment of Directors
storing documents such as the memorandum and articles of association and the certificate of incorporation

issuing dividends
handling share transfers
dissolving companies, if needed.
In addition, a Company Secretary might arrange and administer board meetings, manage shareholder administration and communication, and provide strategic advice to the company’s board. While we don’t normally carry out these functions, we will be happy to discuss your requirements with you.
Registered address
Your company needs a registered address where formal communications can be delivered. This address should be provided to Companies House and should appear on business stationery, your website, emails, and order forms, for example.
While many business owners use the address of their home or premises, others prefer to use an alternative address where formal documents can be checked and forwarded as needed.
